Terms of Service

With effect from 1 April 2026

These Terms of Service ("Terms") govern access to and use of the Logicalplatform and related services (the "Service") operated by EdgeTech Consults Ltd("Logical", "we", "us"). By creating an account, accepting an order form, or using the Service, you agree to these Terms.

1. The Service

Logical is a modular, multi-tenant software platform for logistics operators, including freight carriers, fulfilment operators, orchestrators, and trade participants. Features depend on the modules and subscription tier you activate. We may improve, modify, or discontinue features with reasonable notice where changes materially affect paid functionality.

2. Accounts and eligibility

You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your account and for ensuring that users you invite comply with these Terms. You must be at least 18 years old and authorised to bind your organisation.

3. Subscriptions, fees, and payment

Paid plans, module entitlements, and usage limits are described at signup and in your billing settings. Fees are billed in advance per the billing cycle shown in the Service unless otherwise agreed in writing. Taxes may apply. Failure to pay may result in suspension after notice. Cancellation takes effect at the end of the current billing period unless stated otherwise.

4. Customer data and privacy

You retain ownership of operational data you submit to the Service ("Customer Data"). We process Customer Data to provide and secure the Service as described in our Privacy Policy. Where we process personal data on your behalf, you act as controller and we act as processor under applicable data protection law, including the UK GDPR and EU GDPR where relevant.

5. Acceptable use

You agree not to:

  • use the Service unlawfully or to infringe third-party rights;
  • attempt to access another tenant's data or bypass security controls;
  • introduce malware, scrape the Service excessively, or interfere with its operation;
  • use the Service to send unsolicited communications or store unlawful content;
  • reverse engineer the Service except where permitted by mandatory law.

6. Biometric verification

If you enable fleet or driver verification features, you are responsible for obtaining lawful consent from drivers and staff before biometric enrollment, providing required notices, and complying with local biometric and employment laws. Logical processes biometric data solely to verify identity at operational checkpoints as described in the Privacy Policy.

7. Integrations and third-party services

The Service may connect to third-party systems (for example WMS, commerce, or payment providers). Your use of those services is governed by their terms. We are not responsible for third-party outages, data accuracy, or policy changes outside our reasonable control.

8. Intellectual property

We and our licensors own the Service, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription for internal business purposes. You grant us the rights necessary to host, back up, and process Customer Data to operate the Service.

9. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect it with reasonable care and use it only to perform under these Terms, except where disclosure is required by law.

10. Warranties and disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation. Customs, duty, and regulatory calculations are aids only; you remain responsible for filings and compliance with applicable authorities.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our aggregate liability arising from the Service in any twelve-month period is limited to the fees you paid to us for the Service in that period, except where liability cannot be limited by law.

12. Indemnification

You will defend and indemnify us against claims arising from your Customer Data, your use of the Service in breach of these Terms, or your failure to obtain required consents (including for biometric processing).

13. Suspension and termination

We may suspend access for security risks, non-payment, or material breach after notice where practicable. Either party may terminate for uncured material breach. On termination, your right to access the Service ends; you may request export of Customer Data within the period stated in your agreement or support documentation, subject to legal retention obligations.

14. Changes

We may update these Terms. Material changes will be notified through the Service or by email before they take effect. Continued use after the effective date constitutes acceptance. The current version is always published at logicalpro.io/legal/terms.

15. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Courts in England have exclusive jurisdiction, except where mandatory consumer protection law in your country requires otherwise.
